1. Acceptance of Terms

1.1 These Terms of Use ("Terms") govern your access to and use of the DNAi App ("App") and its related services ("Services"), operated by XHS Capital Limited ("we," "us," or "our").

1.2 By using the Services, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and other App policies. If you do not agree, immediately discontinue use of the Services.

1.3 We reserve the right to modify these Terms at any time. Updated Terms will take effect upon posting on the App. Continued use constitutes acceptance of the revised Terms.

2. Eligibility

2.1 You must be at least 18 years old or the legal age of majority in your jurisdiction.

2.2 You represent and warrant that:

You are not a resident of or accessing the Services from a prohibited jurisdiction (e.g., the United States, China, Iran, North Korea, or regions under sanctions);

Your use complies with all applicable laws in your jurisdiction.

3. Services Overview

3.1 The App leverages decentralized network and AI technologies to enable users to upload, manage, and license health data (e.g., health reports, wearable device data).

3.2 Not Medical Advice: Analytical insights provided by the App are for informational purposes only. Consult a healthcare professional for medical decisions.

4. User Responsibilities

4.1 Data Integrity: You warrant that all uploaded data is accurate, lawful, and does not infringe third-party rights.

4.2 Prohibited Conduct: You must not:

Manipulate data, exploit vulnerabilities, or engage in fraudulent activities;

Reverse-engineer, disrupt, or attack the App’s infrastructure;

Transmit malware, spam, or unlawful content;

・

Use the Services for commercial competition or illegal purposes.

4.3 Account Security: You are solely responsible for securing account credentials. Losses due to negligence are your responsibility.

5. Data Privacy & Security

5.1 Encryption: Health data is stored using AES-256 encryption and processed via zero-knowledge machine learning (zkML) for privacy preservation.

5.2 Data Control: Users retain ownership of data.

5.3 Cross-Border Transfers: Data transfers comply with GDPR Standard Contractual Clauses (SCCs). For details, refer to our Privacy Policy.

6. Intellectual Property

6.1 App Content: All code, interfaces, documentation, and trademarks are owned by or licensed to us. Unauthorized use is prohibited.

6.2 User Data: Ownership of uploaded data remains with users. By using the Services, you grant us a non-exclusive, global license to process data for App operations and research collaborations.

7. Disclaimers

7.1 "As Is" Basis: The Services are provided without warranties of accuracy, completeness, or uninterrupted availability.

7.2 Limitation of Liability: We are not liable for:

Inaccuracies in analytical insights or data usage outcomes.

8. Limitation of Liability

To the fullest extent permitted by law:

8.1 Our total liability shall not exceed the fees paid by you in the preceding 12 months (or $100 USD if no fees were paid).

8.2 You agree to indemnify us against losses arising from your breach of these Terms or infringement of third-party rights.

9. Termination & Dispute Resolution

9.1 We may suspend or terminate access for violations without prior notice.

9.2 Governing Law: Singapore law applies.

9.3 Arbitration: Disputes shall be resolved by the Singapore International Arbitration Centre (SIAC) under English-language proceedings.

10. Miscellaneous

10.1 Force Majeure: We are not liable for disruptions caused by events beyond our control (e.g., natural disasters, cyberattacks).

10.2 Severability: If any provision is invalid, the remainder of the Terms remains enforceable.
